Code of Ethics and Business Conduct

At CyberLink, we place great importance on integrity and corporate social responsibility. We have established our Corporate Governance Principles, Ethical Management Principles, Employee Code of Conduct, and Corporate Social Responsibility Principles, which serve as the standards that all of our employees follow. These governance guidelines are published on the Market Observation Post System (MOPS) and on our official website, ensuring transparency and accessibility for investors and stakeholders.

Our Ethical Management Principles state that we must comply with all relevant laws and regulations, including the Company Act, Securities and Exchange Act, Business Accounting Act, Political Donations Act, Anti-Corruption Act, Government Procurement Act, Act on Recusal of Public Servants Due to Conflicts of Interest, and rules governing listed and OTC companies. This serves as the foundation of our commitment to conducting business with integrity.

Through our Employee Code of Conduct, we not only emphasize compliance with laws, regulations, and company policies, but also encourage employees to report any behavior that violates legal requirements or ethical standards. We handle all such reports with strict confidentiality.

We have designated the CEO Office as the unit responsible for promoting ethical business practices. By conducting regular awareness programs and training courses, we strengthen our employees’ understanding of integrity. In 2024, a total of 485 employees participated in integrity training, amounting to 56.58 training hours.

We provide reporting channels to prevent conflicts of interest and encourage employees to report any unlawful acts or violations of regulations and ethical standards. Besides, we have formulated Whistleblowing Procedures that outline the reporting process and review mechanisms. We are fully committed to maintaining the confidentiality of whistleblowers’ personal information and related evidence.
